Logos Capital Investments Inc. (“Logos,” “we,” “us,” “our”) offers a referral program (the “Program”) for Regime Intelligence accounts on the website at regimeintelligence.com and related web properties (the “Service”).
These Referral Program Terms (“Referral Terms”) are a binding agreement between you (“Referrer,” “you”) and Logos. They supplement and form part of our Terms of Service, Privacy Policy, and Subscription Terms. If there is a conflict between these Referral Terms and the main Terms of Service regarding the Program, these Referral Terms control for Program matters only.
By clicking “I accept” (or equivalent), sending an invite, sharing a referral link, or requesting a payout, you agree to these Referral Terms in full. If you do not agree, do not participate in the Program.

1) Definitions
- Referral link / code — your unique link or code assigned to your account for attributing new sign-ups on the website.
- Referred customer — a new user who creates an account on the website and is validly attributed to you under Section 4.
- Qualifying payment — a subscription invoice payment we actually receive through Stripe from a Referred customer for a paid web plan, net of taxes, refunds, chargebacks, and processor fees.
- Commission — the amount credited to you when a Qualifying payment occurs, calculated under Section 5.
- Hold period — The number of calendar days after we receive a Qualifying payment before a related Commission may move from pending to Available balance (subject to review, clawbacks, and voids).
- Available balance — Commissions that have completed any applicable hold period and are not voided, under review, reserved for payout, or subject to clawback.
2) Eligibility
- You must have an active Regime Intelligence account with a verified email address.
- You must be able to form a legally binding contract and comply with all applicable laws in your jurisdiction.
- You must accept these Referral Terms (current version) before sending email invites, sharing referral links for reward purposes, or requesting payout.
- Participation is voluntary. The Program does not create employment, partnership, agency, joint venture, or franchise relationship between you and Logos.
- We may refuse, suspend, or terminate Program access for any account at our discretion, including for suspected fraud or policy violations, without prior notice where permitted by law.
- The Program is intended for genuine personal and professional referrals. Unless we approve you in writing, you may not participate as a paid affiliate network, coupon aggregator, or traffic broker.
3) Program scope
- The Program applies to website sign-ups and web subscriptions processed through our Stripe checkout. Mobile app store subscriptions are separate unless we explicitly state otherwise in writing.
- Commission rates, hold periods, minimum payouts, and limits displayed in your referrals dashboard are incorporated into these Referral Terms by reference.
- We may modify, pause, or discontinue the Program at any time. We will use reasonable means to notify participants of material changes.
4) Attribution
- A Referred customer is attributed to you when they sign up on the website using your referral link/code or an email invite sent through the Service on your behalf (with the invited email address, where applicable).
- One referrer per new account. Attribution is recorded once and is generally final. We do not reassign attribution between referrers except in cases of clear error or fraud.
- Referral tracking may use cookies (typically up to 30 days after someone clicks your link), invite records, and server-side records. You are responsible for understanding that attribution depends on the Referred customer following your link or invite correctly and signing up within any applicable tracking window.
- We do not guarantee that every person you contact will be attributed to you, particularly if they sign up without your link, use a different email, clear cookies, or already have an account.
5) Commissions
- Unless otherwise shown in your dashboard, the standard commission rate is 20% of Qualifying payment amounts from each Referred customer.
- Commissions accrue on Qualifying payments only, not on free registrations alone or failed payments.
- For monthly subscriptions, commission is calculated on the invoice amount we receive for each paid billing period.
- For annual subscriptions, commission accrues in 12 monthly installments based on the applicable plan’s monthly list price at the time of payment, not as a single lump sum at checkout. Each installment is a separate Commission; the first installment from a Referred customer uses the longer hold in Section 6, and later installments use the shorter hold.
- If a Referred customer upgrades, downgrades, receives credits, or cancels, commissions apply only to Qualifying payments actually received. No commission is owed on unpaid, refunded, or charged-back amounts.
- Commissions are calculated in the currency we receive unless we state otherwise. Payouts may be converted or processed in USD or CAD at our discretion when we transfer funds to you.
- You are solely responsible for any taxes, withholdings, or reporting obligations arising from your Program earnings in your jurisdiction.
6) Holds, limits, and review
- Commissions enter a pending state when earned. They become part of your Available balance only after the applicable hold period has passed and we have not voided, clawed back, or left them under review.
- When the clock starts: Each hold runs for calendar days (not business days), starting on the date we receive the underlying Qualifying payment (usually the Stripe invoice paid date reflected in your dashboard).
- First vs later payments (per Referred customer): Unless stated otherwise in your dashboard, the first Commission from each Referred customer is subject to a 60-day hold; every later Commission from that same customer uses a 30-day hold. Example: if we receive Alex’s first Qualifying payment on January 1, that Commission becomes eligible around March 2 (60 calendar days later). If we receive Alex’s second Qualifying payment on February 1, that Commission becomes eligible around March 3 (30 calendar days later).
- Holds partly protect against refunds, chargebacks, and fraud. Pending Commissions do not accrue interest.
- Expiration of a hold does not guarantee payout: we may keep Commissions under review or deny them if fraud or policy concerns remain, until we resolve the review in good faith.
- We may impose velocity limits, including up to 5 email invites per day and up to 20 new attributions per calendar month per account, or other limits shown in-product.
- We use automated and manual fraud-prevention measures, including review of device signals, IP addresses, payment method fingerprints, email normalization (e.g. Gmail alias detection), referral patterns, and refund/chargeback history.
- We may place Commissions or attributions under review, deny them, or void them if we reasonably suspect policy violations, self-referral, duplicate accounts, stolen payment methods, or other abuse.
- You agree that our fraud and risk determinations, exercised in good faith, are binding unless clearly erroneous.
7) Prohibited conduct
You agree that you will not, and will not permit others to:
- Self-refer or refer accounts you own, control, or benefit from, including household members where the arrangement is primarily to earn Commissions rather than genuine commercial introduction (we may allow good-faith exceptions at our sole discretion).
- Create multiple accounts, use email aliases (+tags, dot variants), or synthetic identities to circumvent limits or earn duplicate rewards.
- Use bots, scripts, click farms, incentivized sign-up schemes (“pay per signup”), or misleading ads to generate referrals.
- Post referral codes on public coupon, deal, or cashback sites without our prior written approval.
- Bid on our trademarks or brand terms in paid search, impersonate Logos, or make false, exaggerated, or guaranteed-return claims about the Service.
- Spam, harass, or contact individuals who have opted out or who you do not have a lawful basis to email.
- Interfere with tracking, manipulate cookies, or attempt to reverse engineer fraud controls.
- Violate any applicable anti-spam, privacy, consumer protection, or financial law.
8) Payouts
- When your Available balance meets the minimum shown in your dashboard (currently $100 USD equivalent), you may request withdrawal.
- Payouts are processed manually from Canada using PayPal, Wise, or a local bank deposit via Wise, depending on what you select in the dashboard. PayPal suits many referrers in the USA, Canada, Europe, the Middle East, and much of Latin America. Wise or bank deposit via Wise is often better for India, the UK/EU, and other regions where PayPal is limited. We do not use expensive domestic Canadian bank wires for small payouts.
- Your bank or payment provider may charge fees or apply exchange rates on receipt. You are responsible for providing accurate payout details (PayPal email, Wise email, or full bank instructions).
- You must provide accurate, complete payout information. We may request identity or tax documentation before releasing funds.
- We may reject, delay, or cancel a payout request if your account is under review, if we suspect fraud, or if clawbacks exceed Available balance.
- Once marked paid, a payout is final except where we identify error, fraud, or chargeback relating to underlying Commissions.
9) Refunds, chargebacks, and clawbacks
- If a Qualifying payment is refunded, disputed, or charged back, related Commissions that have not yet been paid out to you are voided.
- If we already paid you Commissions that are later reversed due to refund, chargeback, or fraud finding, you authorize us to claw back those amounts by deducting them from future payouts until the balance is recovered.
- If clawbacks exceed future earnings, you remain liable for the outstanding amount and we may suspend Program access until resolved.
- Chargebacks may occur many weeks after payment. You acknowledge that Commission eligibility remains contingent on net revenue we retain.
10) Branding and communications
- You may not use Logos trademarks, logos, or screenshots except as we expressly permit or as necessary for good-faith, non-misleading referral messaging.
- You must not represent yourself as an employee, agent, or official partner of Logos unless we authorize that in writing.
- Any marketing you conduct is your responsibility. You indemnify Logos for claims arising from your promotional methods (see Section 14).
11) Privacy and data
Our collection and use of personal information in connection with the Program is described in our Privacy Policy. You must not misuse Referred customers’ personal data. Email invites sent through the Service are delivered on your request; you represent that you have an appropriate basis to provide invitee addresses.
12) Enforcement
If we reasonably believe you violated these Referral Terms, we may, without limitation:
- withhold, void, or reverse Commissions;
- suspend or terminate Program access;
- reject payout requests;
- block attributions; and/or
- suspend or terminate your Service account under the main Terms of Service.
We may investigate suspected abuse and cooperate with law enforcement or payment processors where required.
13) Disclaimers
The Program is provided “as is”. We do not guarantee any level of earnings, conversion rate, or payout timing beyond what we describe in these Referral Terms and your dashboard. Market and product changes may affect Referred customers’ willingness to subscribe.
14) Limitation of liability
To the maximum extent permitted by law, Logos will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the Program. Our total aggregate liability for all Program-related claims will not exceed the greater of (a) Commissions paid to you in the three (3) months before the claim or (b) CAD $100.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
15) Indemnity
You agree to indemnify, defend, and hold harmless Logos and its officers, directors, employees, and affiliates from claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising from your participation in the Program, your promotional activities, your breach of these Referral Terms, or your violation of law or third-party rights.
16) Changes
We may update commission rates, hold periods, limits, or these Referral Terms. We will update the “Last updated” date and version identifier. Material changes may require your re-acceptance before you continue earning or withdrawing Commissions. Continued participation after notice constitutes acceptance where re-acceptance is not required by law.
17) Governing law
These Referral Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles, consistent with our main Terms of Service. Disputes will be brought in the courts located in Quebec, unless applicable consumer protection laws require otherwise.
18) General
- Severability: If any provision is unenforceable, the remainder stays in effect.
- No waiver: Failure to enforce a provision is not a waiver.
- Assignment: You may not assign Program rights without our consent. We may assign the Program to an affiliate or successor.
- Entire agreement (Program): These Referral Terms, together with the incorporated main Terms and in-product disclosures, are the entire agreement regarding the Program.
